Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and [LEGAL_ENTITY_NAME] ("ShowingSnap," "we," "our," or "us"), the operator of showingsnap.com and the related Reimaginer service (collectively, the "Service"). By creating an account, uploading images, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. What the Service does

ShowingSnap is a software-as-a-service platform that uses generative AI to transform user-supplied photographs of interior spaces into restyled, restaged, or otherwise reimagined images. The Service is intended for real estate professionals, designers, stagers, builders, and homeowners. We may add, modify, or remove features at any time.

2. Accounts

You must be at least 16 years old to create an account. You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. Notify us promptly at [BUSINESS_EMAIL] of any unauthorized use.

We may suspend or terminate an account that violates these Terms, that we reasonably believe is compromised, or that has been inactive for more than 12 months.

3. Plans, billing, and free tier

Free tier. No card is required. You get a limited number of renders per rolling 30-day window. Outputs are watermarked. We may change the free-tier cap with at least 14 days notice.

Paid plans. Paid plans (Starter, Pro, Studio) begin with a 7-day free trial. A valid payment method is required to start the trial. We charge $0 during the trial. At the end of the trial, we automatically charge the payment method on file the monthly rate for the plan you chose, unless you cancel first. Plans renew monthly until cancelled.

Cancellation. You can cancel any time from your billing settings, which use the Stripe Customer Portal. Cancellation takes effect at the end of the current billing period. You retain access to paid features until that date.

Refunds. Monthly subscriptions are non-refundable except where a refund is required by applicable law. As a goodwill exception, if you are not satisfied with a paid plan you may request a full refund of your most recent monthly charge within [REFUND_WINDOW_DAYS — recommended: 7] days of that charge, provided the request is made in good faith and the account is not being used to evade plan limits. Outside that window we do not offer refunds for partial billing periods, used renders, or change of mind. If you believe you were billed in error, contact [BUSINESS_EMAIL] within 30 days of the charge and we will review in good faith. Statutory refund rights in your jurisdiction (for example, the EU 14-day right of withdrawal, where applicable) are not affected by this paragraph.

Taxes. Prices are exclusive of applicable taxes. Where required by law, we or our payments processor will collect VAT, GST, sales tax, or similar.

Price changes. We may change prices with at least 30 days notice by email. Price changes apply to the next renewal after the notice period.

4. Your content and license to us

You own your inputs and outputs. Images you upload ("Inputs") and images we generate from them ("Outputs") remain your property. You retain all copyright and other rights in your Inputs and Outputs, subject to the rights of any third party depicted (see Section 5). To the extent any rights in an Output would otherwise vest in ShowingSnap, we grant you a perpetual, worldwide, royalty-free license to reproduce, display, distribute, and create derivative works from your Outputs, including for commercial purposes such as real estate marketing, subject to your compliance with Sections 5 and 6 (including the requirement to disclose AI-generated and virtually staged images).

License you grant us. You grant ShowingSnap a worldwide, non-exclusive, royalty-free license to host, copy, transmit, process, and display your Inputs and Outputs solely to operate, maintain, secure, and improve the Service. This license ends when you delete the Input/Output or close your account, except for backup copies we retain for the period described in Section 12, and except for de-identified, aggregated data we retain indefinitely.

Model training. We do not use your Inputs or Outputs to train any generative AI model, our own or a third party's, except where you have explicitly opted in.

Public sharing. When you generate a share link, the Output at that link is accessible to anyone with the URL until you revoke the link. Share links are unguessable but not private credentials. Treat them as you would any shareable URL.

5. Acceptable use

You agree not to use the Service to:

• Upload images you do not have the right to upload, including images of property, interiors, or people for which you lack permission.
• Generate or distribute images that misrepresent the actual condition of a property in a real estate listing, advertisement, or appraisal in a manner that is deceptive or that violates MLS rules, fair-housing law, or local real estate regulations.
• Generate content that is sexual, that depicts minors in any sexualized context, that is defamatory, that incites violence, or that infringes intellectual property rights.
• Attempt to extract, reverse-engineer, scrape at scale, or otherwise circumvent rate limits, access controls, watermarks, or other technical protections.
• Resell, sublicense, or expose the Service as a competing API without a written agreement.
• Use the Service to train a generative AI model.

Violations may result in immediate suspension or termination, removal of offending content, and where applicable, referral to law enforcement.

6. AI outputs and accuracy

Generative AI is probabilistic. Outputs may contain visual artifacts, structural inaccuracies, anachronisms, or details that do not exist in the original space. Outputs are illustrative, not engineering drawings or appraisals. You are responsible for clearly labeling AI-generated images when shared in any context (such as a listing, advertisement, or design proposal) where viewers might mistake them for actual photographs of the unmodified space. We provide a watermark on free-tier outputs and an attribution toggle on paid tiers; using these features does not absolve you of disclosure obligations under applicable law.

7. Third-party services

We use third-party providers to operate the Service, including Cloudflare (hosting, edge compute, storage), Google (Gemini image generation), Stripe (payments), Resend (transactional email), and Better Auth (authentication). Your use of the Service is subject to their terms where applicable. We list our current subprocessors in the Privacy Policy, Section 6.

8. Intellectual property

The Service, including the software, branding, page layouts, copy, and trademarks, is owned by ShowingSnap and protected by intellectual property laws. Except for the limited license needed to use the Service as intended, no other rights are granted to you.

9. DMCA and copyright complaints

If you believe content on the Service infringes your copyright, send a notice that complies with 17 U.S.C. §512(c) to [BUSINESS_EMAIL] with subject line "DMCA Notice." Include: (a) the work claimed to be infringed, (b) the URL of the allegedly infringing material, (c) your contact information, (d) a statement of good-faith belief, (e) a statement under penalty of perjury that the information is accurate, and (f) your physical or electronic signature. We will respond to valid notices in accordance with the DMCA.

10. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure, error-free, or that Outputs will be accurate, suitable, or free of artifacts.

11. Limitation of liability

To the maximum extent permitted by law, ShowingSnap, its affiliates, and their respective officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or related to your use of the Service, even if advised of the possibility. Our aggregate liability for any claim arising out of or related to these Terms or the Service will not exceed the greater of (a) the amount you paid us in the 12 months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100). Some jurisdictions do not allow exclusion or limitation of certain damages, so portions of this section may not apply to you.

12. Indemnification

You will defend, indemnify, and hold harmless ShowingSnap and its affiliates from any claim, damage, liability, or expense (including reasonable attorneys' fees) arising out of (a) your Inputs or Outputs, (b) your use of the Service in violation of these Terms, or (c) your violation of applicable law or third-party rights.

13. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your account for material breach of these Terms, for protection of the Service or other users, or as required by law. Sections that by their nature should survive (ownership, license you grant us during the post-deletion retention period, disclaimers, limitation of liability, indemnification, dispute resolution, and miscellaneous) survive termination.

14. Changes to these Terms

We may update these Terms from time to time. For material changes, we will provide at least 30 days notice by email and update the "Last updated" date above. Continued use of the Service after the effective date of a change means you accept the updated Terms. If you do not agree, cancel before the effective date.

15. Governing law and dispute resolution

These Terms are governed by the laws of [GOVERNING_STATE], United States, without regard to its conflict-of-laws rules. Any dispute arising out of or related to these Terms or the Service will be resolved exclusively in the state or federal courts located in [VENUE_COUNTY/CITY], [GOVERNING_STATE], and you and ShowingSnap consent to personal jurisdiction and venue there. Either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

EU/UK users. Nothing in these Terms removes your mandatory consumer protection rights under the law of your country of residence.

16. Miscellaneous

These Terms (together with the Privacy Policy) are the entire agreement between you and ShowingSnap. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. We may give notices by email to the address on your account or by posting on the Service.
